Terms and Conditions

If a licence is purchased for every Substantial Spreadsheet User in a site then it qualifies as a Site Licence.  This means that it can be used by every user in the site, including those that are not Substantial Spreadsheet Users.  This enables all members of the site to benefit from the Spreadsheet Detective while only paying for the substantial ones.  It also makes the licence easy to manage as the Detective can be distributed to every user in the site.

A Substantial Spreadsheet User is one that spends more than one day per week (on average) building, maintaining or reviewing the formulas in spreadsheet models.  A user that only manipulates spreadsheet data values is not a Substantial User.  A Site may be an existing administrative part of a organisation such as "Corporate Finance, Brisbane", or the entire organization.  A Site may contain a single Substantial Spreadsheet User in small organisations.

Non-Site Named User Licence may only be used by named individuals within an organisation.  It may only be transferred to other users due to long term changes to the nature of their positions.   It may not be transferred frequently to whichever users happen to be building large models at a given time.  There is no need to order the licence for all Substantial Spreadsheet Users within a Site, but this means that there will be substantial spreadsheet users within the site that do not benefit from the Spreadsheet Detective.

Small business licence For organizations with less than 50 employees that do not provide spreadsheet, financial or management consulting to third parties.

Personal Licence are for Private use only.  The may not be used to run a business.  Personal licences are also available to employees without substantial equity that cannot convince their employer to purchase a licence and will not be reimbursed for the purchase.  However, we are a small company that depends on licence fees and would appreciate it if organisations could be convinced to pay the proper price for software that they use.  Should an individual's employer buy them a licence, the cost of their personal licence will be refunded.

Student licences are available to individuals that are engaged in at least half time academic study and are not being employed as substantial spreadsheet users.  Charities are generally entitled to free licences.  Academics wishing to use the Detective for teaching or for research into spreadsheet modelling and errors may have the tool at no cost provided they keep us informed about the results of any research.

All licences include twelve months support which includes all upgrades to the Spreadsheet Detective.  Within 30 days of delivery the customer may cancel their licence and request a full refund if, in their opinion, the Spreadsheet Detective has technical limitations that prevent it being effectively utilised.

The customer agrees to confirm the number, names and types of users in a Site annually and make additional payments to extend the site licence should the number increase.  Alternatively, they may at their option convert the licences to the same number of single user licences.

While we have taken care to produce a professional product we do not accept any liability for the consequences of using the tool.  The software is supplied "as is" and no warranties are made as to the tool's merchantability or fitness for any particular purpose.  In no event shall we or anyone involved in the creation, production or delivery of the software be liable for any damages whatsoever arising out of the use of this software.  The entire risk arising out of the use or performance of the software remains with the purchaser and user.   We do warrant that we own the Spreadsheet Detective, and have the right to sell licences.

We will maintain the confidentiality of any spreadsheets that you might send us for support.  In particular, if you tell us that they are confidential we will delete them promptly.  However, we require you to change key names and figures in a copy of the spreadsheet before sending it to us, so as to minimize the consequences of any accidental breach of confidentiality.  (Please make sure that the modified spreadsheet still exhibits the behaviour that you wish us to examine.)  We will take general care, but we do not offer a security service.  

End User Licence Agreement

IMPORTANT PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING THE SPREADSHEET DETECTIVE SOFTWARE PRODUCT.

SOUTHERN CROSS SOFTWARE QLD PTY LIMITED End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and SOUTHERN CROSS SOFTWARE QLD PTY LIMITED for the SOUTHERN CROSS SOFTWARE QLD PTY LIMITED software product(s) identified above which may include associated software components, media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. This license agreement represents the entire agreement concerning the program between you and SOUTHERN CROSS SOFTWARE QLD PTY LIMITED, (referred to as "licenser"), and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use the SOFTWARE PRODUCT. 

The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

1. GRANT OF LICENSE.
The SOFTWARE PRODUCT is licensed as follows:
(a) Installation and Use.
SOUTHERN CROSS SOFTWARE QLD PTY LIMITED grants you the right to install and use copies of the SOFTWARE PRODUCT on your computer as described in Terms and Conditions above.
(b) Backup Copies.
You may also make copies of the SOFTWARE PRODUCT as may be necessary for backup and archival purposes.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
(a) Maintenance of Copyright Notices.
You must not remove or alter any copyright notices on any and all copies of the SOFTWARE PRODUCT.
(b) Distribution.
You may not distribute registered copies of the SOFTWARE PRODUCT to third parties. Evaluation versions available for download from SOUTHERN CROSS SOFTWARE QLD PTY LIMITED's websites may be freely distributed within your company.
(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly.
You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
(d) Rental.
You may not rent, lease, or lend the SOFTWARE PRODUCT.
(e) Support Services.
SOUTHERN CROSS SOFTWARE QLD PTY LIMITED will provide you with support services related to the SOFTWARE PRODUCT. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA.
(f) Compliance with Applicable Laws.
You must comply with all applicable laws regarding use of the SOFTWARE PRODUCT.

3. TERMINATION
Without prejudice to any other rights, SOUTHERN CROSS SOFTWARE QLD PTY LIMITED may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT in your possession.

4. COPYRIGHT
All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by SOUTHERN CROSS SOFTWARE QLD PTY LIMITED or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by SOUTHERN CROSS SOFTWARE QLD PTY LIMITED.

5. NO WARRANTIES
SOUTHERN CROSS SOFTWARE QLD PTY LIMITED expressly disclaims any warranty for the SOFTWARE PRODUCT. The SOFTWARE PRODUCT is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose. SOUTHERN CROSS SOFTWARE QLD PTY LIMITED does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the SOFTWARE PRODUCT. SOUTHERN CROSS SOFTWARE QLD PTY LIMITED makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program.  SOUTHERN CROSS SOFTWARE QLD PTY LIMITED further expressly disclaims any warranty or representation to Authorized Users or to any third party.

6. LIMITATION OF LIABILITY
In no event shall SOUTHERN CROSS SOFTWARE QLD PTY LIMITED be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the SOFTWARE PRODUCT, even if SOUTHERN CROSS SOFTWARE QLD PTY LIMITED has been advised of the possibility of such damages. In no event will SOUTHERN CROSS SOFTWARE QLD PTY LIMITED be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. SOUTHERN CROSS SOFTWARE QLD PTY LIMITED shall have no liability with respect to the content of the SOFTWARE PRODUCT or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.
